Summary

The Cyprus Securities and Exchange Commission (CySEC) has launched a consultation on proposed amendments to its Directive on the Register of Beneficial Owners. The changes aim to restrict public access to beneficial ownership information, granting it only to those demonstrating a legitimate interest, in line with EU directives and court rulings. The consultation period closes on March 24, 2026.

What changed

The Cyprus Securities and Exchange Commission (CySEC) has issued a consultation paper proposing significant updates to its Directive on the Register of Beneficial Owners of Express Trusts and Similar Legal Arrangements. These amendments are intended to align national law with Article 74 of Directive (EU) 2024/1640 and will revoke general public access to beneficial ownership information. Access will henceforth be restricted to individuals or organizations that can demonstrate a legitimate interest, a change prompted by a ruling from the Court of Justice of the European Union.

Regulated entities and interested parties must review the proposed amendments, which are detailed in an annex to the consultation paper. To provide feedback or submit enquiries, parties must contact CySEC's Policy Department at policy@cysec.gov.cy by the deadline of March 24, 2026. Failure to comply with the eventual updated directive could result in regulatory action.
