CONSENT ORDER
The State of New Hampshire Banking Department (“Department”) and Bill Dube Auto Group, LLC, agree to the entry of this Consent Order.
Jurisdiction and Regulatory Authority
A retail seller is a person who sells a motor vehicle in New Hampshire subject to a retail installment contract. During all times relevant to this case Bill Dube Auto Group, LLC was engaged in the business of a retail seller in New Hampshire. Pursuant to RSA 361-A:2, I, the Department is charged with licensing persons engaged in the business of a retail seller in New Hampshire. Pursuant to RSA 361-A:2, I, no person shall engage in the business of a retail seller in New Hampshire without obtaining a license from the Department as provided in RSA chapter 361-A. Pursuant to RSA 361-A:12, the Department is authorized to investigate conduct that is or may be in violation of RSA 361-A and to examine the business affairs of any person subject to the jurisdiction of the Department, including any relevant books, accounts, records, files, and other documents, to determine compliance with RSA chapter 361-A.
Findings of Fact
Bill Dube Auto Group, LLC is a New Hampshire corporation with a principal office location in Somersworth, New Hampshire. Bill Dube Auto Group, LLC began applying for a retail seller license in May 2025, however, the application was mistakenly not finalized. Bill Dube Auto Group, LLC started to sell vehicles on August 23, 2025. In December 2025, Bill Dube Auto Group, LLC discovered that it had not obtained a retail seller license, at which time Bill Dube Auto Group, LLC self-reported its discovery to the Department, submitted information about each transaction during the unlicensed period, and finished its application for licensure. Bill Dube Auto Group, LLC, LLC received its retail seller license on December 19, 2025. Prior to receiving its license, Bill Dube Auto Group, LLC, LLC sold 140 motor vehicles subject to retail installment contracts. Bill Dube Auto Group, LLC, LLC received $81,060 in administrative fees for the retail installment contracts. Bill Dube Auto Group, LLC, LLC fully cooperated with the Department’s investigation.
Acknowledgments and Conclusions of Law
Bill Dube Auto Group, LLC makes the following acknowledgments:
- Bill Dube Auto Group, LLC has voluntarily, willingly, and of its own accord agreed to the terms of this Consent Order. The parties further agree and acknowledge that this Consent Order sets forth all terms and conditions between them concerning this matter and supersedes all prior oral and written statements and representations. There are no terms or conditions between the parties except as specifically set forth herein.
- Bill Dube Auto Group, LLC understands the nature of the allegations set forth herein and that they constitute grounds for potential penalties as provided in New Hampshire law.
- Bill Dube Auto Group, LLC acknowledges, understands, and agrees that it has the right to notice and an adjudicatory hearing to contest the matters set forth herein, including any appeal, and hereby waives those rights. Bill Dube Auto Group, LLC further acknowledges that it waives the filing of any civil actions related to this matter.
- Bill Dube Auto Group, LLC understands that entering this Consent Order is a final act and not subject to reconsideration or judicial review or appeal.
- Bill Dube Auto Group, LLC represents and warrants that it has all the necessary rights, powers, and abilities to carry out the terms of this Consent Order. The undersigned representative of Bill Dube Auto Group, LLC represents and warrants that she is authorized to enter into and bind Bill Dube Auto Group, LLC to this Consent Order.
- Bill Dube Auto Group, LLC acknowledges that the Department is relying upon Bill Dube Auto Group, LLC’s representations and warranties stated herein in making its determinations in this matter.
- Bill Dube Auto Group, LLC acknowledges that this Consent Order may be revoked and/or the Department may pursue any and all remedies available under the law against Bill Dube Auto Group, LLC, LLC if the Department later learns that Bill Dube Auto Group, LLC, LLC knowingly or willfully withheld information from the Department.
- This Consent Order is binding upon and inures to the benefit of the parties hereto and their respective legal representatives, assigns, and successors in interest.
- The parties desire to resolve this matter without the need for further proceedings and without further cost or expense to either party. The entry of this Consent Order is in the public interest.
Order
Pursuant to RSA 361-A:26, VI, the Bank Commissioner finds this action necessary and appropriate to the public interest and for the protection of consumers and consistent with the purposes fairly intended by the policy and provisions of RSA chapter 361-A. Accordingly, based on all the foregoing, the Commissioner enters the following ORDER:
- Bill Dube Auto Group, LLC shall cease and desist from any and all violations of RSA 361-A.
- Bill Dube Auto Group, LLC shall remit to the Department an administrative fine in the amount of $11,250.00. Payment shall be made within 15 days of this Consent Order becoming final. Payment shall be made by bank check (cashier’s certified check) payable to the “State of New Hampshire.”
- Failure by Bill Dube Auto Group, LLC to comply with any portion of this Consent Order shall constitute a separate and sufficient basis for administrative action, up to and including license revocation, bar from licensure, and/or monetary penalties.
- This Order fully resolves this matter and the Commissioner will not take further action against Bill Dube Auto Group, LLC for the allegations presented herein. However, the Commissioner may take enforcement action against Bill Dube Auto Group, LLC for any violation of this Consent Order or the matters underlying its entry, if the Commissioner determines that compliance with the terms of this Order are not being observed or if any representation made by Bill Dube Auto Group, LLC and reflected herein is subsequently discovered to be untrue.
- This Consent Order shall become final and effective when executed by the Commissioner.
