What changed

SEBON has introduced two key changes to Nepal's securities regulatory framework. First, the application period for shares allocated to Nepalis employed abroad has been modified from a fixed 15-day window to a minimum of 4 working days, with provision to extend up to 15 days if securities remain unsold. Second, banks and financial institutions are now authorized to issue Perpetual Non-Cumulative Preference Shares as a new capital instrument.

Banks and financial institutions in Nepal should prepare to utilize this new perpetual preference share instrument for capital management purposes. Brokerages and securities issuers must update their systems and procedures to accommodate the revised application timelines for diaspora share allocations. Compliance teams should review internal policies to ensure alignment with the modified share issuance procedures under this directive.
