SIRIUS/BROOKFIELD/Paradise JV Merger Prior Notification
Summary
The European Commission published a prior notification under the EU Merger Regulation for Case M.12345 involving SIRIUS, BROOKFIELD, and Paradise JV. The transaction has been designated as a candidate for the simplified procedure, indicating the Commission views the concentration as unlikely to raise competition concerns. Publication appeared in the Official Journal C/2026/1986 on 1 April 2026.
What changed
The Commission received a formal prior notification of a concentration whereby SIRIUS and BROOKFIELD propose to acquire joint control of Paradise JV (Case M.12345). The transaction was submitted for review under the EU Merger Regulation (EC 139/2004) and has been identified as a candidate for the simplified procedure, which applies to concentrations that do not raise competition concerns and may proceed with reduced procedural requirements and shorter review timelines.
For parties considering reportable transactions, this notice confirms that the simplified procedure remains available for qualifying concentrations. Companies planning mergers or acquisitions within the EU should verify whether their transaction meets the notification thresholds under the Merger Regulation and assess eligibility for simplified treatment. No immediate action is required from third parties unless they believe the transaction may affect their market position.
