What changed
The European Commission issued a non-opposition decision in Case M.12389, clearing the GIM/TCR concentration as compatible with the internal market under the EC Merger Regulation. The decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004. Parties to notified concentrations that receive non-opposition are free to proceed with the transaction — no further Commission intervention is expected absent material change in circumstances.
For merging parties and their advisers, the publication confirms the unconditional clearance and closes the merger control phase at EU level. The full decision will be published after redaction. Transaction teams should monitor the Commission's competition cases portal for the published decision text, which may contain reasoning relevant to future filings or parallel proceedings.
