Non-opposition to RENGO merger (Case M.11318)
Summary
The European Commission did not oppose the notified concentration Case M.11318 involving RENGO, MC, MCT, and SUN-TOX. The Commission determined that the proposed merger would not significantly impede effective competition in the internal market. The parties may now proceed with completing the transaction without further regulatory intervention from the Commission.
What changed
The European Commission issued a non-opposition decision in Case M.11318 concerning the proposed concentration between RENGO, MC, MCT, and SUN-TOX. Under Article 6(1)(b) of the EU Merger Regulation (EC) No 139/2004, the Commission determined that the notified operation would not raise serious doubts as to its compatibility with the internal market and the functioning of the EEA Agreement.
For the merging parties, the non-opposition decision means the transaction can proceed without remedies, divestitures, or behavioral conditions. The parties should coordinate with competition counsel to ensure any required notifications to EU member state authorities are completed and to manage any parallel review processes in jurisdictions outside the EU where the transaction may also require merger control clearance.
What to do next
- Monitor for any subsequent Commission review or investigation
- Ensure compliance with any post-closing notification requirements in EU member states
