Summary

The Canadian Minister of Industry has decided to keep the pre-merger notification threshold at $93 million for 2026. This means transactions where the acquired company's Canadian assets or revenues exceed $93 million will continue to require advance notice to the Competition Bureau, provided the combined parties' assets or revenues exceed $400 million.

What changed

The Competition Bureau Canada announced that the pre-merger notification threshold will remain at $93 million for 2026, as decided by the Minister of Industry. This threshold applies to transactions where the acquired entity's Canadian assets or revenues exceed $93 million, and the combined parties' assets or revenues exceed $400 million. The Bureau reviews these notifiable transactions to assess potential substantial lessening of competition.

This decision means that businesses planning mergers or acquisitions in Canada will continue to operate under the same notification requirements as in previous years. No immediate action is required by regulated entities beyond adhering to the existing notification procedures for transactions meeting these financial thresholds. The decision to maintain the threshold is part of the annual review process mandated by the Competition Act.

News release

The pre-merger notification threshold will remain at $93 million in 2026, following a decision by the Minister of Industry.

March 2, 2026 – GATINEAU (Québec), Competition Bureau

The pre-merger notification threshold will remain at $93 million in 2026, following a decision by the Minister of Industry.

Under the Competition Act, mergers of all sizes are subject to review by the Competition Bureau. The Bureau must generally receive advance notice of proposed transactions when:

  • the company being acquired’s assets in Canada, or revenues from sales in, from, or into Canada generated from those assets exceed $93 million; and

  • the combined assets in Canada or revenues from sales in, from, or into Canada generated from those assets of the parties and their affiliates exceed $400 million.
The Bureau reviews these notifiable transactions to determine if they are likely to prevent or lessen competition substantially.

Quick facts

  • Under the merger provisions of the Competition Act, the Minister of Industry reviews the threshold annually.
  • The Minister may review the threshold using the indexing mechanism set out in the Competition Act, may prescribe a different amount to be established by regulation, or may leave the threshold unchanged.
  • When the threshold is not adjusted in a given year, it remains the same as the threshold in the previous year.
