EC Clears Charlesbank / Nordic Capital / Tecomet / Orchid Merger

The European Commission has approved the acquisition of joint control over Tecomet and Orchid by Charlesbank and Nordic Capital under Article 6(1)(b) of the EU Merger Regulation. The decision, issued on 22 April 2026, was a simplified review finding the concentration does not raise doubts as to its compatibility with the common market. The parties operate in the manufacture of medical and dental instruments and supplies sector (NACE Rev. 2.1 code C.32.5). The provisional deadline for the decision was 05.05.2026.

Spring Into the Mendip National Nature Reserve

Natural England has published a press release promoting the Mendip National Nature Reserve in Somerset as a prime visitor destination between April and early June 2026. The reserve, declared in October 2023 as the second in the King's Series of National Nature Reserves, covers over 1,400 hectares and includes notable sites such as Cheddar Gorge. The release highlights spring wildlife including adders, skylarks, orchids, and endangered horseshoe bats, and encourages visitors to explore the 440km of public rights of way. The reserve is jointly managed by Natural England, the National Trust, Butterfly Conservation, the Woodland Trust, and other partner organisations.

Orchid Global, Inc. v. Salamon - Jurisdiction Dismissal for Corporation-Stockholder Inspection Dispute

The Delaware Court of Chancery granted defendant David Salamon's motion to dismiss Orchid Global, Inc.'s declaratory judgment action for lack of personal jurisdiction. The court held that Orchid's forum selection bylaw, which channels stockholder claims to Delaware, does not apply to a corporation's lawsuit against a stockholder. Because the bylaw did not constitute consent to jurisdiction and no other basis existed, the case was dismissed without prejudice.
