Delaware Court of Chancery granted former CEO Joe E. Kiani's motion to dismiss in Masimo Corporation v. Kiani. The court held that the forum selection clause in the 2015 employment agreement—which selects the Superior Court of California for disputes 'arising out of or related to' the agreement—governs this dispute over severance payments and the agreement's validity.
