What changed

The Mississippi Real Estate Commission issued a formal reprimand to Shadow Robinson for making a unilateral determination to cancel a contract and refund earnest money when the broker believed the buyer's behaviors indicated possible incompetence to contract—a legal conclusion reachable only by a court. The Commission's Investigative Committee found violations of MREC Rule 3.4(A) (earnest money disposition), Miss. Code §73-35-21(1)(n) (improper dealing), and MREC Rule 3.1(F) (failure to abide by Commission rules).

Real estate brokers and licensees should note that earnest money disputes must be handled through proper legal channels rather than unilateral broker decisions. The reprimand will be maintained in Robinson's permanent license file, and the Commission warned that repeated violations will result in suspension or revocation proceedings. This case serves as a cautionary example regarding the proper handling of contract cancellations and earnest money disposition under Mississippi law.

IN RE: Shadow Robinson, Principal Broker (MREC Case No. 2024-75)

Dear Ms. Robinson: Pursuant to the agreement you signed June 11, 2025, as set forth in the Notice of Alleged Violations and

Opportunity for Informal Resolution with Waiver of Formal Complaint, the Commission, in its July 8, 2025

meeting, voted unanimously to approve said Informal Resolution as offered and agreed, and to issue this

Official Letter of Reprimand based upon the following violations of the statutes and administrative rules

governing real estate practice in Mississippi. The Investigative Committee of the MREC determined that the information obtained during the investigation of the subject 2024 real estate transaction at issue showed:

unilateral determination to cancel  In a transaction wherein you acted as buyer's broker, you made a

a contract and refund the buyer's earnest money when you believed the buyer's behaviors indicated a possibility of not being sufficiently competent to enter into a contract (constituting a legal conclusion only reachable by a court), over the objection of the Complainant with regard to the award of earnest money.

MREC's Investigative Committee determined that the above-noted act could be shown to have resulted in violations of, or related to, the following statutes and/or rules:

 MREC Rule 3.4 (A): … In the event of uncertainty as to the proper disposition of earnest money,

the broker may turn earnest money over to a court of law for disposition. …

 Miss. Code §73-35-21(1)(n): "Any act or conduct … which constitutes … improper dealing."  MREC Rule 3.1(F): "Any licensee who … fails or neglects to abide by Mississippi Real Estate

Commission's Rules and Regulations shall be deemed … to be guilty of improper dealing."

The above-named licensee is hereby reprimanded and admonished to observe the foregoing statutes and rules

on peril of suspension or revocation of the issued real estate license if the violations are repeated. This Official Letter of Reprimand will be maintained in your permanent license file on record with the Commission. Sincerely,

Bryan P. Lieb, Esq.
