What changed
The European Commission decided not to oppose the notified merger between VIG and NÜRNBERGER, declaring it compatible with the internal market under the EC Merger Regulation. This clearance means the proposed concentration may proceed without further Commission review on competition grounds. The decision is based on Article 6(1)(b) of Council Regulation (EC) No 139/2004, which applies to concentrations that do not raise significant competition concerns.
For the merging parties, the decision removes regulatory uncertainty and allows the transaction to close. For competitors and market participants, the Commission's finding that the merger does not significantly impede effective competition in the internal market indicates no material change to competitive dynamics in the relevant insurance markets. No remedies, obligations, or ongoing reporting requirements were imposed.
