What changed

The JFTC reviewed Prime Polymer's absorption-type company split acquisition of Sumitomo Chemical's polypropylene and linear low-density polyethylene business under Japan's Antimonopoly Act. Following a primary review commencing November 25, 2025, and a secondary review initiated December 25, 2025, the Commission determined that the transaction would not substantially restrain competition in any particular fields of trade. The JFTC formally notified both parties on April 24, 2026 that no cease and desist order would be issued, closing its review.

Affected parties include Prime Polymer (a joint venture between Mitsui Chemicals and Idemitsu Kosan), Sumitomo Chemical, and their respective shareholders. Under the deal structure, Sumitomo Chemical will receive Prime Polymer shares, making the combined entity a three-way joint venture. Competitors and market participants in Japan's polypropylene and LLDPE markets should note that this transaction was cleared without remedies or behavioral conditions, suggesting the JFTC found no material competitive concerns in relevant product or geographic markets.
