What changed
The European Commission issued a non-opposition decision for the CAPVEST/TSG concentration (Case M.12380). This is a Phase 1 clearance under the EU Merger Regulation, meaning the Commission found no competition concerns warranting further investigation or remedial measures.
For the merging parties, this decision removes regulatory uncertainty and allows the transaction to proceed without conditions. The clearance is unconditional, indicating the Commission identified no market share thresholds, vertical integration concerns, or coordinated effects issues that would require remedies. Businesses considering similar transactions should note that straightforward cases with no apparent competition overlap may expect similarly expedited review timelines.
