FTC Grants Early Termination of Waiting Periods for Mergers
Summary
The Federal Trade Commission (FTC) has granted early termination of waiting periods for several proposed mergers and acquisitions. These actions, published in the Federal Register, indicate that neither the FTC nor the Assistant Attorney General intends to take further action on these specific transactions during the review period.
What changed
The Federal Trade Commission (FTC) has published a notice detailing the early termination of waiting periods for numerous proposed mergers and acquisitions, as permitted under Section 7A of the Clayton Act. This notice lists specific transactions, including their identification numbers and the parties involved, indicating that the statutory waiting periods have been ended before their expiration. The FTC and the Assistant Attorney General for the Antitrust Division have confirmed they do not intend to pursue further action on these specific deals during the original waiting period.
This publication serves as an informational notice for regulated entities and the public regarding the status of these premerger notifications. For the companies involved in these specific transactions, the early termination signifies that they may proceed with consummation without further delay related to the Hart-Scott-Rodino waiting period. No immediate compliance actions are required for other entities, as this is a notification of completed administrative actions for specific cases.

Section 7A of the Clayton Act, 15 U.S.C. 18a, as added by Title II of the Hart-Scott-Rodino Antitrust Improvements Act of
1976, requires persons contemplating certain mergers or acquisitions to give the Federal Trade Commission and the Assistant
Attorney General advance notice and to wait designated periods before consummation of such plans. Section 7A(b)(2) of the
Act permits the agencies, in individual cases, to terminate this waiting period prior to its expiration and requires that
notice of this action be published in the
Federal Register
.
The following transactions were granted early termination—on the dates indicated—of the waiting period provided by law and
the premerger notification rules. The listing for each transaction includes the transaction number and the parties to the
transaction. The grants were made by the Federal Trade Commission and the Assistant Attorney General for the Antitrust Division
of the Department of Justice. Neither agency intends to take any action with respect to these proposed acquisitions during
the applicable waiting period.
