SECTION 4 Description of the concentration The notified concentration relates to the proposed acquisition of sole control, within the meaning of Article 3(1)(b) of the EU Merger Regulation, over Aktiebolaget Tingstad Papper and its subsidiaries ("Tingstad Group" or the "Target") by funds managed and/or advised by
Bain Capital Investors, LLC ("Bain Capital", jointly with Tingstad Group, the "Parties") (the "Proposed Transaction").
On 25 February 2026, affiliates of Bain Capital and the shareholder of Tingstad Group entered into a Share Sale and Purchase Agreement (the "SPA"). Pursuant to the SPA, funds managed and/or advised by Bain Capital will indirectly acquire shares and voting rights in Tingstad Group. Upon completion of the Proposed Transaction, funds managed and/or advised by Bain Capital will indirectly exercise sole control over Tingstad Group for purposes of the EU Merger Regulation. Bain Capital is a private equity investment firm that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/manufacturing. Bain Capital is headquartered in the United States. Tingstad Group is a business-to-business ("B2B") distributor of non-food consumables, focused on the distribution of hygiene and cleaning products, foodservice disposables and bags and packaging, primarily for customers in the hotel, restaurant, catering, grocery and retail, office and facilities industries. Tingstad Group also has a production arm focused on the manufacturing of paper carrier bags and e-commerce paper sacks, mainly in Sweden. Tingstad Group is headquartered in Sweden.
