Summary

The SEC published notice of the 56th Amendment to the Nasdaq UTP Plan, effective March 12, 2026 upon filing. The amendment reflects the name change of Nasdaq BX, Inc. to Nasdaq Texas, Inc. and admits Texas Stock Exchange LLC as a new Participant to the UTP Plan. The amendment was filed as a "Ministerial Amendment" under Section XVI of the UTP Plan.

What changed

The SEC approved the 56th Amendment to the Joint Self-Regulatory Organization Plan Governing the Collection, Consolidation and Dissemination of Quotation and Transaction Information for Nasdaq-Listed Securities. The amendment makes two administrative changes: (1) updates the name of Nasdaq BX, Inc. to Nasdaq Texas, Inc. throughout the Plan, and (2) adds Texas Stock Exchange LLC ("TSE") as a Participant to the UTP Plan. The amendment was filed under Rule 608(b)(3)(ii) as a "Ministerial Amendment" and became effective immediately upon filing with the Commission (Release No. 34-105091; File No. S7-24-89).

No immediate action is required by regulated entities. This is an administrative filing that updates the official roster of UTP Plan Participants to reflect current market structure. Broker-dealers and trading venues trading Nasdaq-listed securities on unlisted trading privileges should update their internal records to reflect the Nasdaq Texas name change and recognize TSE as an authorized UTP Plan Participant.

  1. [Release No. 34-105091; File No. S7-24-89] March 27, 2026. Pursuant to Section 11A of the Securities Exchange Act of 1934 (“Act”), [1 ] and Rule 608 thereunder, [2 ] notice is hereby given that on March 12, 2026, the Participants [3 ] in the Joint Self-Regulatory Organization Plan Governing the Collection, Consolidation and Dissemination of Quotation and Transaction Information for Nasdaq-Listed Securities Traded on Exchanges on an Unlisted Trading Privileges Basis (the “UTP Plan”) filed with the Securities and Exchange Commission (“Commission”) a proposal to amend the UTP Plan. The amendment represents the Fifty-Sixth Amendment to the UTP Plan (“Amendment”). Under the Amendment, the Participants propose to reflect the new name of Nasdaq BX, Inc. as Nasdaq Texas, Inc. and to add Texas Stock Exchange LLC (“TSE”) as a Participant to the UTP Plan. [4 ]

The proposed Amendment has been filed by the Participants pursuant to Rule 608(b)(3)(ii) under Regulation ( printed page 16256) NMS [5 ] as concerned solely with the administration of the UTP Plan and as a “Ministerial Amendment” under Section XVI of the UTP Plan. As a result, the Amendment can be submitted by the Chair of the UTP Plan's Operating Committee and becomes effective upon filing.

The Commission is publishing this notice to solicit comments on the Amendment from interested persons. Set forth in Sections I and II is the statement of the purpose and summary of the Amendment, along with the information required by Rules 608(a) and 601(a) under the Act, as prepared and submitted by the Participants.

I. Rule 608(a)

1. Purpose of the Amendments

The above-captioned amendments effectuate a change to reflect the new name of Nasdaq BX as Nasdaq Texas. The amendment also admits the Texas Stock Exchange as a Participant to the UTP Plan.

2. Governing or Constituent Documents

No change as result of amendments.

3. Implementation of Amendments

Because the amendment constitutes a “Ministerial Amendment” under Section XVI of the UTP Plan, the Chair of the UTP Plan's Operating Committee may submit the amendment to the Commission on behalf of the Participants in the UTP Plan. Because the Participants designate the amendment as concerned solely with the administration of the UTP Plan, the amendment becomes effective upon filing with the Commission.

4. Development and Implementation Phases

No change as result of amendments.

5. Analysis of Impact on Competition

The amendment does not impose any burden on competition because they simply effectuate a change in the name of a Participant and admit a new Participant to the Plan. For the same reasons, the Participants do not believe that the amendments introduce terms that are unreasonably discriminatory for the purposes of Section 11A(c)(1)(D) of the Exchange Act. The Texas Stock Exchange has completed the required steps to be added to the UTP Plan.
