BaFin: No Prospectus for Amazon Parcels Investment
Summary
BaFin has found evidence that Commercehelden GmbH and Marketplace24-7 GmbH are offering 'Amazon Parcels' investments in Germany without a required prospectus. This is a violation of the German Capital Investment Act, and BaFin is seeking information from the public.
What changed
The German Federal Financial Supervisory Authority (BaFin) has issued a consumer warning regarding 'Amazon Parcels' investments offered by Commercehelden GmbH (Austria) and Marketplace24-7 GmbH (Switzerland). BaFin has evidence that these companies are offering capital investments to the public in Germany without publishing the legally required prospectus, a contravention of Section 6 of the German Capital Investment Act (VermAnlG). While BaFin approves prospectuses for content completeness and understandability, it does not verify the accuracy of information or the issuer's reliability.
This notice serves as a warning to potential investors and indicates potential enforcement action against the offering companies. Investors are advised to check BaFin's prospectus database for approved prospectuses. BaFin is also soliciting information from the public, particularly whistleblowers, regarding these offerings, including contract templates, contact details, or account information. Regulated entities should be aware that offering investments without a prospectus can lead to liability for issuers and offerors.
What to do next
- Review BaFin's prospectus database for 'Amazon Parcels' or related offerings.
- Report any specific information regarding Commercehelden GmbH or Marketplace24-7 GmbH's 'Amazon Parcels' offering to BaFin's whistleblower contact point.

Penalties

The Federal Financial Supervisory Authority (BaFin) has evidence indicating that Commercehelden GmbH, domiciled in Innsbruck, Austria, together with Marketplace24-7 GmbH, domiciled in Freienbach, Switzerland, is offering capital investments to the public in Germany in the form of “Amazon Parcels” (Amazon-Warenpakete). In contravention of section 6 of the German Capital Investment Act (Vermögensanlagengesetz – VermAnlG), a prospectus has not been published for this product.
In Germany, capital investments may be offered to the public only if a prospectus has been published. This prospectus must be approved by BaFin prior to publication. During the approval process, BaFin checks whether the minimum information required by law is included in the prospectus and whether its content is understandable, coherent and consistent. However, BaFin does not check whether the information contained in the prospectus is correct. Moreover, it does not check whether the issuer is reliable nor does it examine the product in question. Issuers of capital investments must ensure that this is clearly indicated in their prospectuses. Issuers and offerors can be held liable for failing to publish a prospectus.
You can check whether an approved prospectus for offers of capital investments to the public has been filed with BaFin by consulting the database Prospectuses filed on the BaFin website.
Please note:
