Summary

The SEC has issued an order to show cause against BorrowMoney.com, Inc. for failing to respond to an earlier order instituting proceedings. The company must explain why its securities registration should not be revoked by March 19, 2026.

What changed

The Securities and Exchange Commission (SEC) has issued an Order to Show Cause against BorrowMoney.com, Inc. (Respondent) in Admin. Proc. File No. 3-22569. This follows an earlier Order Instituting Proceedings (OIP) issued on December 12, 2025, which sought to revoke the registration of the Respondent's securities under Section 12(j) of the Securities Exchange Act of 1934. The Respondent failed to file an answer within the prescribed ten days, leading the Division of Enforcement to establish proper service on February 5, 2026. As of the current order date, no answer has been filed.

BorrowMoney.com, Inc. is now ordered to show cause by March 19, 2026, why the Commission should not deem it in default and proceed to revoke its securities registration. The submission must address the reasons for the failure to file a timely answer and include a proposed answer. Failure to respond to this order could result in the Commission deeming the allegations of the OIP true, proceeding without a public hearing, and revoking the registration of its securities. This action highlights the critical importance of timely responses to SEC enforcement actions and procedural requirements.

What to do next

  1. Respond to the Order to Show Cause by March 19, 2026, explaining the failure to file an answer and submitting a proposed answer.
  2. Review the SEC Rules of Practice regarding electronic filing and service requirements for administrative proceedings.
  3. Assess potential consequences of default and revocation of securities registration.

Penalties

Revocation of the registration of each class of Respondent's securities.

UNITED STATES OF AMERICA before the SECURITIES AND EXCHANGE COMMISSION SECURITIES EXCHANGE ACT OF 1934 Release No. 104930 / March 5, 2026 Admin. Proc. File No. 3-22569 In the Matter of BORROWMONEY.COM, INC. ORDER TO SHOW CAUSE On December 12, 2025, the Securities and Exchange Commission issued an order instituting proceedings (“OIP”) against BorrowMoney.com, Inc. (“Respondent”) under Section 12(j) of the Securities Exchange Act of 1934. The OIP instituted proceedings to determine whether it is necessary and appropriate for the protection of investors to revoke the registration of each class of Respondent’s securities registered under Exchange Act Section 12. The OIP also warned Respondent that if it failed to file an answer within ten days after service of the OIP, the Commission could deem Respondent to be in default, deem the allegations of the OIP to be true, and determine the proceedings against Respondent without a public hearing. On February 5, 2026, the Division of Enforcement filed a Declaration of Magaly Ordaz, which established that service of the OIP was made on Respondent by that date. As of the date of this order, Respondent has not filed an answer. The prehearing conference and hearing are thus continued indefinitely. Accordingly, Respondent is ORDERED to SHOW CAUSE by March 19, 2026, why the Commission should not deem it to be in default due to its failure to file an answer or otherwise to defend this proceeding and revoke the registration of each class of its registered securities. In its submission, Respondent shall address the reasons for its failure to timely file an answer and include a proposed answer to be accepted if the Commission does not deem Respondent to be in default. If Respondent fails to respond to this order to show cause, the Commission may deem Respondent to be in default and the allegations of the OIP to be true, determine the proceeding against Respondent without a public hearing, and revoke the registration of its securities. Upon review of the filings in response to this order, the Commission will either issue an order directing further proceedings or a final order resolving the matter.
