2 III. On the basis of t his Order and Respondent ’s Offer, the Commissi on finds 1 that A. LNPR (CIK No. 1454 510) is a Colorado corporation loc ated in Salt L ak e Cit y, Utah. The common sto ck of LNP R is registered under S ection 12(g) of the Exchange Act. The common stock of L NPR is not publi cly quoted or t raded. B. LNPR has failed to co mpl y with Section 13(a) of the Exch ange Act and Rul es 13a - 1 and 13a - 13 thereun der, while its c ommon stock was registered with t he Commission in th at it has not filed a ny periodic reports since it filed a Form 10 - Q, for the pe riod ended Septembe r 30, 2023. IV. Section 12(j) of the Exchange A ct provides as foll ows: The Commission is authorized, by order, as i t deems necess ary or app ropri ate for the protection of inv estors to deny, t o suspend th e effecti ve date of, to susp end for a pe riod not exceeding twelv e months, or to rev oke the regist ration of a securit y, if the Co mmission finds, on the record after notice and opport unity for he aring, that the i ssu er of s uch s ecu rity has failed to comply with any pr ovision of this ti tle or the rules and regulations the reunder. No memb er of a nation al s ecurit ies exc hange, brok er, or deal er shall make use o f th e mail s or any m eans o r instrument ali ty o f int erst ate co mmer ce t o eff ect an y trans acti on in, or to i ndu ce th e pu rchas e o r sale of, any security th e registration of which has been and is sus pended or revok ed pursuant to t he precedi ng s enten ce. In view of th e foregoing, the Comm ission de ems it necessary and appropriate for the protection of inv estors to i mpose the sanction specified in R espondent’s Offer. Accordingly, it is h ereby ORDERED, pursuant to Section 12(j) of the Exchange A ct, that regist rati on of each clas s of LNPR Grou p Inc. ’s (C IK No. 145 4510) securi ties r egist er ed pu rsuan t to Section 12 o f the Exchange A ct be, and h ereby is, revok ed.
